Terms of Service

1. Acceptance of Terms

By accessing or using HVAC.Agency's website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Service Description

HVAC.Agency provides digital marketing services specifically designed for heating, ventilation, and air conditioning companies, including but not limited to:

• Search Engine Optimization (SEO)
• Pay-Per-Click (PPC) advertising management
• Website design and development
• Social media marketing and management
• Reputation management and review generation
• Customer Relationship Management (CRM) solutions
• AI-powered marketing automation
• Business consulting and strategy development

3. Service Plans and Pricing

We offer three primary service tiers:

• Starter Plan: $2,998/month - Basic digital marketing package
• Growth Plan: $4,498/month - Comprehensive marketing solution
• Elite Plan: $8,998/month - Full-service premium package

All prices are in Canadian dollars (CAD) and subject to applicable taxes. Custom enterprise solutions are available upon request. Pricing is subject to change with 30 days written notice.

4. Free Trial Period

We offer a 7-day free trial for new clients. During the trial period:

• No credit card is required to start the trial
• You receive a digital marketing audit and performance analysis
• You can cancel at any time during the trial with no obligation
• If you choose to continue, billing begins after the trial period ends

5. Payment Terms

Payment terms and conditions:

• Services are billed monthly in advance
• Payment is due within 7 days of invoice date
• Accepted payment methods include credit card, bank transfer, and e-transfer
• Late payments may result in service suspension after 14 days
• A late fee of 2% per month may be applied to overdue balances
• All advertising costs (Google Ads, Facebook Ads, etc.) are billed separately or passed through at cost

6. Service Term and Cancellation

Our service agreements operate on a month-to-month basis:

• Initial contract term is month-to-month with no long-term commitment required
• Either party may cancel with 30 days written notice
• Cancellation must be submitted in writing via email to Ali@Sedighi.ca
• No refunds for partial months or services already rendered
• Upon cancellation, you retain ownership of all content we created for you
• Website hosting and maintenance may require separate arrangements

7. Client Responsibilities

To ensure successful service delivery, clients agree to:

• Provide accurate business information and marketing materials
• Grant necessary access to accounts (Google My Business, social media, website, etc.)
• Respond to requests for information in a timely manner
• Review and approve marketing materials when required
• Maintain professional communication with our team
• Comply with all applicable laws and regulations
• Not use our services for illegal or unethical purposes

8. Intellectual Property

Ownership and usage rights:

• You retain ownership of your business name, logo, and brand materials
• We retain ownership of our methodologies, processes, and proprietary tools
• Content created specifically for your business becomes your property upon full payment
• We may showcase your business as a portfolio example unless you request otherwise
• Stock photos and licensed materials remain property of their respective owners

9. Performance and Results

Important disclaimers about marketing results:

• We provide professional marketing services but cannot guarantee specific results
• ROI estimates are based on industry averages and past client performance
• Results depend on many factors including market conditions, competition, and seasonality
• We will make reasonable efforts to meet agreed-upon goals and KPIs
• We provide regular performance reports and analytics

10. Confidentiality

We respect your business confidentiality:

• We will not share your proprietary business information with third parties
• All client data is stored securely and handled according to our Privacy Policy
• We may use anonymized data for industry research and service improvement
• Confidentiality obligations survive termination of services

11. Limitation of Liability

To the fullest extent permitted by law:

• HVAC.Agency is not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount paid for services in the past 3 months
• We are not responsible for third-party platform changes (Google, Facebook, etc.)
• We are not liable for lost profits, revenue, or business opportunities
• Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you

12. Indemnification

You agree to indemnify and hold HVAC.Agency harmless from any claims, damages, or expenses arising from your use of our services or violation of these terms.

13. Modifications to Terms

We reserve the right to modify these terms at any time. We will notify you of significant changes via email or website notice. Continued use of our services after changes constitutes acceptance of the modified terms.

14. Governing Law

These terms are governed by the laws of British Columbia, Canada. Any disputes will be resolved in the courts of British Columbia.

15. Dispute Resolution

In the event of a dispute:

• We encourage informal resolution through direct communication
• Mediation may be used before pursuing legal action
• Both parties agree to act in good faith to resolve conflicts
